Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Intelekt platform and related websites (the “Service”), provided by Lyvena (“we,” “us,” or “our”). By creating an account or using the Service you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To use certain features you must create an account, typically via GitHub OAuth or email authentication. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share your account with others.
• Promptly notify us of any unauthorised use of your account at info@lyvena.xyz.

3. Your Code and Repositories

You retain full ownership of all source code, files, and repositories you create, modify, or manage through the Service. Intelekt does not claim any intellectual property rights over your work. We access your GitHub repositories only when you explicitly authorise a specific action (e.g., pushing a commit, opening a pull request), and we do not copy or retain your code beyond what is necessary to complete that action.

4. Subscriptions and Billing

Paid plans are billed through our payment partner, Creem, which acts as the Merchant of Record. By subscribing you agree to Creem's terms of service for payment processing.

• Free tier. The Hobby plan is free and includes limited agent sessions and community support.
• Paid plans. Pro and Team plans are billed monthly or annually, in advance, until cancelled.
• Cancellation. You may cancel your subscription at any time through your Creem billing portal. Cancellation takes effect at the end of the current billing period; no partial refunds are issued.
• Price changes. We may change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.
• Taxes. Creem handles applicable sales tax, VAT, and GST based on your jurisdiction.

5. Acceptable Use

You agree not to use the Service to:

• Generate, store, or distribute malware, exploits, or other harmful code.
• Conduct denial-of-service attacks, scraping, or automated abuse against any system.
• Violate applicable laws, regulations, or third-party rights.
• Circumvent rate limits, security measures, or access controls.
• Resell, sublicense, or redistribute the Service without written permission.
• Use the Service to build a competing product using our proprietary logic or agent orchestration.

We reserve the right to suspend or terminate accounts that violate these provisions.

6. Intellectual Property

The Service, including its software, design, branding, documentation, and agent orchestration logic, is owned by Lyvena and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements without prior written consent.

7. Service Availability and SLA

We strive to keep the Service operational but do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime, data loss, or business interruption. Paid plan subscribers receive priority support and a best-effort SLA as described in their plan.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. AI-generated code may contain errors; you are responsible for reviewing and testing all output before deploying it to production.

9. Limitation of Liability

To the maximum extent permitted by law, Lyvena shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Lyvena, its officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.

12. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of competent jurisdiction in the relevant locale.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
